SteemX TERMS OF SERVICE

Effective Date: February 1, 2025

IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS ANY CONDITIONS, LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU, ARE CONTAINED IN THIS AGREEMENT. CAREFULLY READ IT, PLEASE.

A legal agreement governing the provision of services from SteemX to you is formed by these Terms of Service and any amendments and restatements hereof (the "Agreement"). These include providing a marketplace that allows buyers and sellers of "Digital Assets" (a term that is broadly understood to include digital currencies like Bitcoin, Tether, and others that are supported by a SteemX wallet) to transact with one another (the "Marketplace"), providing hosted digital wallet services, holding and releasing Digital Assets as directed upon completion of a purchase of Digital Assets, and any other services detailed in this Agreement (collectively the “Services” and individually, a “Service”) provided by SteemX and all of its affiliates (collectively, “SteemX” or “we” or “us” or the “company”) to you as an individual (also referred to as a “user” or “you”). SteemX owns and operates SteemX.com and its associated services. This Agreement, our Privacy Policy, any other policies on the WebSite, and E-Sign Consent shall all control how you use the Services.

INSTEAD OF JURY TRIALS OR CLASS ACTIONS, ARBITRATION MUST BE USED TO RESOLVE DISPUTES UNDER THESE TERMS.

By creating an account on SteemX.com or any related websites, APIs, or mobile applications, including any URLs run by SteemX (collectively, the “SteemX Website” or the “Website”), you acknowledge that you have read, comprehended, and agree to all of the terms and conditions, including our Privacy Policy, Cookie Policy, Partner Program Terms and Conditions, and E-Sign Consent, that are contained in this Agreement. Purchasing, selling, holding, or investing in digital assets has a significant risk of financial loss, and their value can fluctuate. Considering your financial situation, you should carefully consider if trading or holding digital assets is right for you.

CONCERNING STEEMX AND ITS OFFERINGS

More than 180 payment methods are accepted by sellers on SteemX, a prominent peer-to-peer marketplace that makes it easier to buy and sell digital assets. Peer-to-peer negotiations and exchanges of payment methods take place between Marketplace purchasers (referred to as "Buyers") and sellers (referred to as "Sellers"). Our users choose the payment methods to utilize to finish a transaction, and they are solely accountable for making sure that they are used legally. Our users can publish offers to buy or sell digital assets using a range of practical payment methods via our website and mobile application, often known as the "Platform." A user has the option to create an offer to buy digital assets (the offer creator is the buyer) or sell digital assets (the offer creator is the seller). The parameters of the transaction, including the payment methods that the offer taker will accept, must be disclosed by the offer maker. As part of our transaction protocols, the Seller's Digital Assets are locked after another SteemX's User selects an offer until all requirements have been met for the transaction to be completed. The chat dialog that opens after the buyer accepts the parameters of the offer and the seller's digital assets are locked allows the counterparties to communicate with one another. Once the buyer has fulfilled the conditions of the transaction and the seller has verified that the money is legitimate, the seller unlocks and releases the digital assets to the buyer. Payment processing is not what SteemX does. The buyer and seller are solely responsible for sending and receiving payments and verifying the legitimacy of the transactions. If the buyer decides to cancel the transaction, the digital assets that are locked are returned to the seller. The transaction cannot be canceled by the seller at any time. The only thing the seller can do is unlock the digital assets and give them to the buyer. The purpose of this measure is to protect the security of the buyer. Buyers and sellers are the only parties involved in transactions on our website and platform. These transactions do not include SteemX. Digital assets can be sent, received, and stored securely with SteemX Exchange. Incidental custody of digital assets is offered by SteemX. Digital Wallets managed by SteemX are where digital assets are always kept on the blockchain. Every transaction involving digital assets takes place inside the network. The transaction's processing on the Digital Assets network is not guaranteed. SteemX Exchange reserves the right to refuse to process any transaction if required by law or if we deem the transactions to be against our terms and conditions in this Agreement. To the greatest degree allowed by law, you hereby agree and acknowledge that you are solely responsible for all activities that take place under your account and that you assume all risks associated with both authorized and unauthorized access to your account. You can also view your Digital Assets' current holdings in your Wallet.

OVERALL

This Agreement may be changed, modified, altered, or revised at any time, in our sole and absolute discretion, and without previous notice. Any modifications to how you utilize the services will be effective as soon as they are posted on the SteemX website, not retrospectively. We may also send you an email to let you know about revisions to the Agreement if you have provided us with your email address. Your only and only option is to immediately stop using the Services and close your account if you disagree with the provisions of the updated Agreement. It is your obligation to thoroughly read this agreement and to check it from time to time as it is posted on the SteemX website. You agree to be bound by the terms of the then-current Agreement if you keep using the Services. SteemX Exchange's failure or delay in fully or partially implementing any of the Agreement's provisions shall not be interpreted as a surrender of our rights or remedies.

ACCOUNT & REGISTRATION

You must create an account on our website in order to utilize the Services. We will request certain information from you throughout the registration process, such as your name, address, and other personal details to confirm your identification. We have the complete and final authority to decline to keep an account for you. By signing this, you attest that you are: (a) of legal age in your jurisdiction to enter into this agreement; and (b) have never been suspended or barred from accessing our services before. You promise that you will use our services for yourself when you use your account, and that you won't use it to serve as a broker or middleman for any other individual or organization. You are only permitted to have one account unless specifically permitted by SteemX. You are also not permitted to sell, borrow, share, or otherwise make your account or any information required to access it available to anyone or anything other than yourself. Keeping all usernames, email addresses, passwords, two-factor authentication codes, and other codes or credentials that you use to access the Services secure and under your control is entirely your responsibility. No false or deceptive information may be found in your account. It is highly forbidden to provide counterfeit identification documents, fabricate your country of origin, or create misleading information for your account. When you register your account, you consent to giving us the information we ask for in order to verify your identity and prevent financial crimes like fraud, money laundering, or terrorist funding. You also allow us to retain a record of this information. Before being allowed to access the Services, you will have to go through a series of verification processes, which could change depending on the data that is continuously gathered about you. Certain personal information, such as your name, address, phone number, email address, date of birth, social security number, taxpayer identity number, and government identification number, may be included in the data we ask for. You attest that all of the information you have given us, including any further information that may be needed, is truthful, accurate, and not deceptive. You promise to quickly notify us of any changes to the information you supply. You give us permission to conduct any inquiries—directly or through third parties—that we deem necessary to confirm your identity or to safeguard you and/or us against fraud or other financial crimes. Based on the findings of these inquiries, we may take any necessary action. You acknowledge and agree that when we do these inquiries, your personal information may be shared with credit reference, fraud prevention, or financial crime agencies, and that these agencies may fully respond to our inquiries. You additionally represent and warrant that, if you are using the Services on behalf of a legal entity, such as a corporation, (i) the legal entity is properly organized and legally existent under the applicable laws of the jurisdiction in which it is organized; and (ii) you have been duly authorized by the legal entity to act on its behalf. Only the individual who registered the account is able to use a corporate-verified account, which is unique to that legal entity. Other people or organizations are not permitted to use or share corporate accounts. Verified corporate accounts are eligible for the following restricted exemptions: As long as they are all company-verified and run by designated company employees who have previously disclosed and been approved by SteemX Exchange in its sole and absolute discretion, an approved corporate account may have multiple active user accounts at any given time. However, corporate accounts are only permitted to have one active offer for a single transaction at a time, and they are not permitted to have multiple offers for the same transaction from their other corporate accounts. Creating a strong password and keeping all IDs, passwords, hints, PINs, API keys, and other codes that you use to access our services secure and under your control are entirely your responsibility. Any loss or breach of the aforementioned data and/or your personal information could lead to third parties gaining unauthorized access to your account and to the theft or loss of any monies and/or digital assets connected to your account, including linked payment methods. In order to receive any notifications or alerts that we may send you, it is entirely your responsibility to keep your phone number, email address, and other contact information current in your account profile. When you are logged into your account, you should never share your computer screen or grant remote access to anybody else. We disclaim all liability for any losses you may experience as a result of your failure to heed or act upon any messages or alerts we may give you, or for any loss resulting from the compromise of your account login credentials due to circumstances without SteemX's control. You might have to comply with specific legal requirements in your nation and/or state of residence in order to utilize our services. By agreeing to the terms of this agreement, you attest that you have read your local laws and regulations and that you understand and will perform all of your responsibilities under them. In some jurisdictions, we do not allow the use of our services due to legal or regulatory restrictions. You attest that you are not a resident of those jurisdictions or subject to their laws and regulations by agreeing to the terms of this agreement. We might limit or forbid the use of all or some of the Services from specific jurisdictions ("Restricted Jurisdictions"), and we might not make all of the Services available in all markets and jurisdictions. Currently, countries listed on our "List of Banned Countries" are considered Restricted Jurisdictions. If you live in one of the Restricted Jurisdictions, you must not try to utilize our services. You are not permitted to try to get around any limitations placed on you through the Services, including hiding your IP address or providing false location data.

RISK ASSUMPTION, LIMITATION OF LIABILITY, AND NO WARRANTY

Without any explicit, implied, or statutorily imposed guarantees, representations, or warranties, the services are offered "as is" and "as available." SteemX expressly disclaims any implied warranties of title, merchantability, fitness for a particular purpose, and/or non-infringement to the maximum extent permitted by applicable law. SteemX makes no guarantees or representations regarding the continuity, uninterruptedness, timeliness, or error-free nature of the website, any of the services, or any of the materials contained therein. Any disruption or loss a user may experience is not SteemX's responsibility. Regarding your use and access to the services and website, you hereby acknowledge and agree that you have not relied on any other written or verbal statements or understandings. You acknowledge and accept the risks associated with using digital currency, including but not limited to hardware failure, software problems, internet connection failure, malicious software, third-party interference that results in the loss or inability to access your account, wallet, and other user data, server failure, or data loss. Regardless of the cause, you agree and acknowledge that SteemX will not be held accountable for any communication breakdowns, interruptions, errors, distortions, or delays you may encounter while using the services. SteemX, its affiliates, and service providers, as well as any of their respective officers, directors, agents, employees, advisers, consultants, or representatives, shall not be liable in any way for (A) any amount exceeding the total amount paid by you for the service that was the subject of the cause of action within the twelve (12) months prior to the loss occurring, or (B) for any lost profits, loss of value or business opportunity, loss, damage, corruption, or breach of data or any other intangible property, or any special, incidental, indirect, intangible, or consequential damages, whether based on a contract, tort, negligence, strict liability, or otherwise, arising out of or related to authorized or unauthorized use of the site or services, or this agreement, EVEN IF A STEEMX AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF, KNEW, OR SHOULD HAVE KNOWN THE POSSIBILITY OF SUCH DAMAGES, EXCEPT TO THE EXTENT OF A FINAL JUDICIAL DETERMINATION THAT SUCH DAMAGES WERE A RESULT OF STEEMX'S GROSS NEGLIGENCE, FRAUD, WILLFUL MISCONDUCT, OR INTENTIONAL VIOLATION OF LAW AND THE FAILURE OF ANY AGREED REMEDY OF ITS ESSENTIAL PURPOSE. The aforementioned limitation might not apply to you because some jurisdictions forbid the exclusion or limitation of incidental or consequential damages. The underlying software standards that regulate how Digital Assets are operated are not under our ownership or control. The underlying protocols are typically open source, meaning that everyone can use, copy, alter, and share them. We cannot guarantee the functionality or security of network activities, nor do we take any responsibility for how the underlying protocols operate. Specifically, abrupt modifications to operating rules (such as "forks") could affect the underlying protocols. The availability, value, functionality, and/or name of such digital currency may all be significantly impacted by any such significant operational changes. The features and timing of these significant operating modifications are outside of SteemX's control. When deciding whether to keep using the Services, you must carefully weigh information that is available to the public and information that SteemX may give. It is your duty to keep yourself informed about any impending operating changes. SteemX retains the right to take all required actions to safeguard the safety and security of its platform in the event of such an operational change, including temporarily stopping operations for the relevant digital currency or currencies and taking other appropriate actions. Although SteemX will make every attempt to notify you of any significant operating changes, certain changes are beyond our control and could happen without prior notice. We have complete control over how we react to any significant operating change, including whether or not to support any new forks. You understand and accept the risks associated with operating modifications to Digital Assets' protocols, and you also agree that SteemX is not accountable for any loss of value you might incur as a result of such modifications. You understand and agree that we are under no obligation to help you with unsupported currencies or protocols, and that SteemX has complete control over how it responds to any operating change. You may access third-party content or use third-party services while using our services, including links to third-party websites and services ("third party content"). We do not approve, adopt, or regulate any content from third parties, and we will not be held accountable for or liable for any of it. Furthermore, any correspondence or transactions you have with these third parties are exclusively between you and them. You accept that using third-party content and interacting with third parties are entirely at your own risk, and that we are not liable for any loss or damage of any kind that may result from such dealings. Just to be clear, SteemX does not offer legal, tax, or investment advice. SteemX does not provide investment advice or securities services. You are solely responsible for deciding whether any investment, investment strategy, or related transaction is suitable for you based on your individual investment objectives, financial situation, and risk tolerance. All transactions through our Marketplace are carried out on a peer-to-peer basis between the Seller and Buyer. You should speak with a tax or legal expert about your particular circumstances. To help users understand more about our services, we may occasionally offer instructional materials regarding our platform and goods. Blog entries, articles, news feeds, tutorials, videos, and links to third-party content are examples of information, but they are not the only ones. It should be noted that none of the information on the Website or any third-party websites should be interpreted as advice of any kind, including financial, trading, or investment advice. You should do your own research and speak with your financial experts before deciding to purchase, sell, or hold any digital assets. The choices you make regarding the purchase, sale, or holding of digital assets based on the information SteemX provides are not SteemX's responsibility. The price of the digital assets on the website may not accurately represent their value because it is dependent on exchange rates that were obtained from publicly available data sources. You acknowledge that we have no responsibility for changes in the value of digital assets. We may do one or more of the following in the case of a Force Majeure incident (defined below) or market disruption: (a) suspend access to the Services; or (b) stop you from using the Services to complete any actions. We won't be responsible for any losses you sustain as a result of such behavior. When services are resumed after such an event, you understand that current market rates could be very different from what was offered before the event. We do not guarantee that the Website or the server that hosts it is virus-free, error-free, that its content is correct, that it will remain available without interruption, or that any faults will be fixed. We will not be held accountable or liable to you for any losses resulting from actions you take or actions you take based on information or materials on the website.

INDEMNITY & SteemX RELEASE

You release SteemX, its affiliates and service providers, and each of their officers, directors, employees, agents, and representatives from any and all claims, demands, and damages (actual and consequential) of any kind and nature arising out of or in any way related to disputes you may have with one or more users of our services. By breaching this agreement or violating any law, rule, regulation, or third party's rights, you agree to indemnify and hold SteemX, its affiliates, and each of its or their respective officers, directors, employees, agents, and representatives harmless from any claim or demand (including legal fees and any fines, fees, or penalties imposed by any regulatory authority).

MARKETPLACE TRANSACTIONS ON STEEMX

Users of the website can request offers to purchase or sell digital assets. When a user starts a transaction to buy or sell digital assets, it is completed in accordance with this agreement and any other terms that the user or the user's counterparty specifies. Each of the transactions listed below is subject to the following general terms: Purchasing digital assets by putting out an offer: There are no costs for SteemX when buying digital assets on our marketplace; instead, the seller is responsible for paying SteemX's fees as part of the transaction that buyers must complete. The conversion rate, exchange speed, and other terms and conditions set by the offer maker will differ for each offer. The offer taker consents to be bound by the terms and conditions of the offer by accepting the offer from the offer maker. Except in situations where they conflict with or violate this Agreement, are unlawful, irrational, or otherwise challenging to comply with (as assessed in SteemX's sole and absolute discretion), the terms and conditions stated by the offer maker are valid in all circumstances, or if both transaction users agree to change the offer's terms and conditions. EXACTLY READING AND FOLLOWING THE TERMS AND CONDITIONS OF THE OFFER IS THE OFFERTAKER'S RESPONSIBILITY. Until the seller has complied with all terms and conditions specified in the offer, the buyer of the digital assets is not required to make payment. SteemX is unable to assist the buyer in a dispute resolution process if the buyer submits payment without adhering to the terms and conditions. SteemX has no control over payment verification or the Seller's obligation to supply instructions for unlocking digital assets. After the Buyer has correctly complied with the Seller's terms and conditions, the Buyer must use the designated dispute button in the transaction chat to report the Seller if the Seller does not release the Digital Assets to the Buyer. The dispute will then be examined and settled by SteemX's support staff.

When selling digital assets on SteemX's marketplace, sellers are required to confirm and process the payment within a reasonable time frame, as well as within the time frame given in the offer terms. It is the exclusive responsibility of the Seller to swiftly verify and process the payment after the Buyer has paid the Seller in line with the conditions of the offer. Only then will the Seller unlock the Digital Assets from SteemX and make them available to the Buyer. By selling digital assets, you, as the seller, assume all risks and liabilities for any violations of this agreement. When digital assets are locked in SteemX pending a sale, SteemX charges the seller a fee. Unless determined otherwise in SteemX's sole and absolute discretion, SteemX shall not reimburse any losses to the Seller whether due to a violation of this Agreement, fraud, or otherwise, and our fee will not be refunded under any circumstances except trade cancellation. Before the seller may unlock the digital assets from SteemX, any payment must be fully processed and verified as received. If the seller unlocks digital assets before payment has been properly validated and received by the seller, SteemX will not be held liable for the seller's loss. The buyer must receive prompt attention and responsiveness from the seller. Any dormant offers should be deactivated by the seller. It is completely forbidden to advertise any kind of external service in any area of SteemX's Marketplace that would make it easier to purchase or sell digital assets outside of SteemX's services. Observance No third party, including but not limited to any gift card issuer, is connected to, associated with, or sponsors SteemX or the Services. The exclusive property of their individual owners applies to designated trademarks, brands, and other identifiers. Such owners do not advocate, sponsor, associate, or have any other connection to SteemX or its services. SteemX is neither an authorized dealer of any gift card issuer nor a recognized gift card seller. The terms and conditions of the third-party retailer with whom the gift card can be redeemed ("Issuer") apply to any gift cards you acquire directly from users of the SteemX Marketplace. SteemX disclaims any liability for the actions or inactions of any Issuer(s), as well as for any costs, penalties, or terms and conditions pertaining to the Issuer's gift card that was obtained through the SteemX Marketplace. When you accept a gift card from a user, you attest that you have read its terms and conditions and that you are authorized to use it in accordance with the terms and conditions set forth by the gift card issuer or by relevant legislation. You bear full responsibility for adhering to all applicable laws and regulations in the jurisdiction or jurisdictions where your transaction occurs. Every transaction needs to happen inside SteemX. It is completely forbidden to exchange external contact information or conduct transactions outside of the SteemX platform. Wallet activities; no cancellations or changes. SteemX is unable to help you cancel or change your transaction once the transaction details have been sent to the digital currency network through the Services. SteemX is unable to assist with cancelation or change requests and has no authority over any digital currency network. No locked digital assets are stored or held by SteemX. Digital assets are consistently documented on their corresponding blockchains or networks. Instead of taking place on SteemX, all digital currency transactions take place within the digital currency network. The transaction's processing on the digital currency network is not guaranteed. If required by law or if we believe the transaction violates our terms and conditions in this agreement, SteemX retains the right to refuse to process it. To the greatest degree allowed by law, you hereby accept and recognize that you are solely responsible for any activities that take place under your wallet and that you assume all risks associated with both authorized and illegal access to your wallet. Taxes: You are in charge of identifying any taxes that may be applicable to the transactions for which you have provided transaction data through the Services, as well as reporting and sending the required tax to the relevant tax authority. You acknowledge that SteemX is not in charge of figuring out whether taxes are due on your transactions using digital currency or of gathering, disclosing, withholding, or sending any taxes that result from such transactions. The reputation of users. We provide people the opportunity to comment on their interactions with you when you are involved in a transaction. Additionally, we allow users to report any instances in which they feel you have broken this agreement. Although we may utilize these reports in connection with a dispute as specified in Section 8, they remain confidential. Transaction Record. Your account allows you to see your transaction history. You consent to the conditions of the transaction being unaffected or nullified in the event that the Services are unable to provide such confirmation. Returns and reimbursements. It is final when you use your account to buy a good or service from a third party. We don't handle returns or refunds. SteemX charges fees for its services; any applicable costs will be shown to you before you use any of them. See "SteemX Fees" for more information. SteemX retains the right to modify its pricing and fees at any moment, and our rates are subject to change.

DISPUTE RESOLUTION PROCEDURE FOR TRANSACTIONS USING STEEMX

The simplest method to resolve a disagreement is usually for the buyer and seller to talk to each other, figure out what went wrong, and then work out a solution that works for both of them. When a buyer and a seller are unable to reach a mutually beneficial agreement, SteemX's support staff, often known as "SteemX Support," can assist. Regarding a transaction, the dispute resolution procedure (also known as a "disputed transaction" or "dispute") may be started by either party. Only transactions that the buyer has marked as completely paid may give rise to disputes. It is generally not possible to dispute, reverse, or alter transactions that have already been disputed and resolved, where the seller has released the digital assets to the buyer, or that have been marked as fully paid by the buyer, cancelled by the buyer, or automatically cancelled because the offer's timeframe has passed. The process of resolving disputes. The actions that SteemX Support takes in the case of a dispute are listed below. Beginning When starting a dispute, choose the dispute type from the list of options and explain the problem that gave rise to the disagreement. Both buyers and sellers will have different possibilities. Among the most popular choices offered for characterizing your disagreement are, but are not restricted to: Terms of the trade were altered: This may happen if there was a clause in the trade that neither the buyer nor the seller followed. Requesting to trade off SteemX from a trade partner: This occurs when someone suggests a deal outside of the platform. A phony paper was sent by a trade partner: This implies that either the buyer or the seller submitted inaccurate or deceptive paperwork. The trade partner is not answering: This choice can suggest that the buyer or seller is not responding or communicating, which might postpone the trade process. The payment is having trouble: This choice addresses situations in which there are issues with the transaction process or the payment mechanism. The fact that the partner has not paid suggests that the buyer has not met their end of the bargain. There's another issue: The other party and the moderator will be able to see your explanation of the problem that led to the dispute, which is an open option. SteemX maintains the right to update this list as needed. Notification Following the submission of a disagreement, SteemX Support will notify the opposite party by email and the transaction chat tool that is accessible to both buyers and sellers in the marketplace, informing them that a dispute has been raised. SteemX Support will notify you of the transaction in question and the reason for the disagreement if one of your transactions is being contested. In response After reviewing the dispute, explain what transpired to SteemX Support. Provide proof of ownership, proof of payment, or proof that you have received or have not received payment as evidence to back up your claim. Review of SteemX SteemX Support will look into disputed transactions and make a decision based on the information and evidence that has been submitted by both parties and/or gathered by the dispute team, or not. In order to settle disputes, SteemX Support considers a number of variables, which are detailed below. Dispute Resolution. You can receive instructions from SteemX Support during a dispute review that you must abide with. You can be asked to submit more proof as part of the instructions, such as proof of payment, extra ID verification, any photo, audio, or video evidence, or any other materials SteemX deems pertinent. You might also be given a deadline to submit the evidence. The issue could be settled against you if you don't follow the guidelines. After receiving the dispute, SteemX Support will normally notify the user of its decision through the Marketplace's transaction chat function within 7 days, though in certain cases, this may take longer. Lack of response When you are a party to a transaction, it is crucial that you stay online and accessible from the beginning of the transaction until it is finished, terminated, or settled. This means that you can be considered unresponsive and the dispute could be resolved against you if you are unable to respond to a request made by SteemX Support in a disputed transaction within the time frame that SteemX Support specifies. Chargebacks Even if SteemX's dispute resolution procedure rules in favor of a party, that party may still be exposed to additional risks based on the payment method utilized for the transaction. Any remedies that a buyer or seller may have through the payment method used in connection with a transaction are distinct from the dispute resolution procedure outlined in this agreement. SteemX is not required to start or manage chargebacks, and it is not responsible if a party challenges a transaction in any other way, including after a dispute has been resolved, or reverses, charges back, or otherwise disputes a transaction through a channel provided to the party using the payment method used in the transaction. Resolution of Conflicts The most typical way to settle a disputed transaction is for SteemX Support to transfer the contested digital assets to either the buyer or the seller when the dispute resolution procedure is finished. The scenarios listed below are chosen to provide you an idea of how SteemX might settle a contested transaction. This list is not intended to be all-inclusive. The particular facts of the issue and the supporting documentation offered by the users will influence how any dispute is resolved. If at least one of the following conditions is satisfied, but not all of them are, SteemX Support may settle a disagreement in the buyer's favor: According to the transaction offer, the buyer has paid the seller in accordance with the first instructions given, and the buyer has sufficiently demonstrated that the payment was made in accordance with these instructions. Once the buyer has complied with all of the seller's terms and conditions as stated when the buyer agreed and paid for the transaction, it is against this agreement for the seller to refuse to finish the transaction. The seller has stopped responding and hasn't given SteemX Support a thorough enough response in the allotted period. Either a payment account not registered in the seller's name or a third party involved in the transaction receives the payment. If one of the following conditions is satisfied, but not all of them are, SteemX Support may settle a disagreement in the seller's favor: The buyer has not paid, has not paid in full, or has not paid in accordance with the seller's initial instructions in accordance with the transaction offer. The payment provider or processor has held, paused, frozen, or stopped the buyer's payment. This covers circumstances where the buyer disputes a payment through its bank or credit card company or charges a refund. The buyer has stopped responding and hasn't given SteemX Support a thorough enough response in the allotted period. Either a payment account not registered in the buyer's name or a third party to the transaction makes the payment. At the sole discretion of SteemX Support, the dispute may be promptly resolved against the user and the user's account may be immediately suspended or terminated if the Buyer or Seller of a disputed transaction provides fraudulent information or fraudulent documents, makes false claims, or employs other deceptive tactics. In certain cases, SteemX may choose to settle the dispute by dividing the Digital Assets at issue between the Buyer and the Seller equally or unevenly if neither party satisfies the requirements or if it is otherwise impossible or unclear which party has met the demands of the dispute resolution process. Appeal: You have the right to file an appeal if you think SteemX handled a disagreement in a way that wasn't consistent with this Agreement. In order to file an appeal, you must notify us using the trade chat as soon as possible, but no later than 10 calendar days after you receive notice of SteemX Support's decision. You must also give us enough information and proof to back up your request. In accordance with the rules of this Agreement, your appeal should explicitly state how you feel SteemX handled the disagreement incorrectly and offer proof of that incorrect conclusion. Please remember that you are required to maintain a polite demeanor and show consideration for other users as well as SteemX Support at all times when using our services, even during the dispute process. Refer to "Section 13-Prohibited Use" in general. finality. As stated in this Agreement, you understand and accept that SteemX's judgment on a disagreement following an appeal is final, binding, and conclusive. Regarding its decisions, SteemX will not be liable to either a buyer or a seller. CHARGES FOR USING SERVICES FROM STEEMX It costs nothing to create a wallet. SteemX charges fees for its services; any applicable costs will be shown to you before you use any of them. See "SteemX Fees" for more information. SteemX retains the right to modify its pricing and fees at any moment, and our rates are subject to change.

SERVICE DISCONTINUANCE

We reserve the right, at our sole discretion, to change or stop providing any part of our services, either temporarily or permanently, with or without prior notice, and at no cost to you. LIMITING ACCESS TO YOUR WALLET AND SUSPENDING OR TERMINATING ACCOUNT AND SERVICES We reserve the right, in our sole and complete discretion, to: (a) suspend, restrict, or terminate your access to any or all of the Services (including your Wallet), and/or (b) deactivate or delete your account without warning if: (i) the use of your account is subject to any pending litigation, investigation, or government proceeding, and/or we believe there is a heightened risk of legal or regulatory non-compliance associated with your account activity; (ii) our service partners are unable to support your use; (v) you take any action that we deem to be circumventing our controls and procedures; (iii) we reasonably suspect you have violated this Agreement; (iii) we are required to do so by applicable law, a facially valid subpoena, court order, or binding order of a government authority; or (ii) we believe it is necessary to do so in order to protect us, our users, including you, or our employees from harm or loss. We reserve the right to restrict or deny you access to the Services, and we will not be held liable for any repercussions of that decision, including any delays, harm, or annoyance you may experience. Unless a court order or other legal procedure prevents us from doing so, we will make an effort to notify you of our actions if we suspend or close your account, stop your use of the Services for any reason, or restrict access to your wallet. YOU AGREE THAT CONFIDENTIAL CRITERIA ESSENTIAL TO OUR RISK MANAGEMENT AND SECURITY PROTOCOLS MAY BE THE BASIS FOR OUR DECISION TO TAKE PARTICULAR ACTIONS, LIMITING ACCESS TO, SUSPENDING, OR CLOSING YOUR ACCOUNT OR WALLET. You acknowledge that SteemX is not required to provide you with information about its risk management and security protocols. If we suspend your account or your ability to access your wallet, we will immediately lift the suspension as soon as the grounds for it are no longer valid. However, we are not required to let you know when (if at all) the suspension will be lifted. According to abandoned property and escheat laws, we might have to report any remaining digital assets in your account as unclaimed property if you have been holding them in your SteemX Wallet and there hasn't been any activity for a period of time specified by the applicable law. We will make every attempt to give you written notification if this happens. We might have to deliver any such digital assets to the relevant country as unclaimed property if you don't reply to any such notice within seven (7) business days of receiving it, or as required by law. As allowed by applicable legislation, we reserve the right to take a dormancy fee or other administrative costs from such unclaimed digital assets. PROHIBITED USE By accessing or using the Services, you acknowledge that you are solely responsible for your behavior while using our Services, that you will not do any unlawful acts, and that you will use the Services in accordance with the terms and conditions in this Agreement (including the Privacy Policy). Without restricting the aforementioned's generality, you commit to not: engage in any activity that could violate or assist in violating any law, statute, ordinance, regulation, or sanction program administered in the countries where we conduct business or operations, or that would involve the proceeds of any unlawful activity; publish, distribute, or disseminate any unlawful material or information; use our services in any way that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying our services; or damage, disable, overburden, or impair the functioning of our services in any way; interfere with another user's ability to access or use any of our services; violate or infringe upon another user's legal rights (including but not limited to rights of privacy, publicity, and intellectual property); incite, threaten, facilitate, promote, or encourage hate, racial intolerance, or violent acts against others; harvest or otherwise collect information about other users from our website; engage in any activity that aims to defraud, defame, or otherwise cause any harm to SteemX or our users; or give SteemX or another user any false, inaccurate, deceptive, or misleading information in connection with our Services or as otherwise provided or requested under this Agreement; use any robot, spider, crawler, scraper, or other automated means or interface that we have not provided to access our Services or to extract data; try to get around any content filtering methods we use, or try to access any service or area of our Services that you are not authorized to access; or place any advertisement or promotion anywhere in SteemX' Marketplace that would make it easier to buy or sell Digital Assets outside of SteemX' Services; introduce any virus, Trojan horse, worms, logic bombs, or other harmful material into the Services; engage in transactions involving products that violate or infringe upon any copyright, trademark, right of publicity or privacy, or other proprietary rights under the law, or other licensed materials without the proper authorization from the rights holder; use SteemX's name, logo, or intellectual property, including its trade or service marks, without our prior written consent, or in a way that harms SteemX or the SteemX brand; take any action that suggests an untrue endorsement by or affiliation with SteemX; create any third-party applications that interact with our Services without our prior written consent; or incite or induce any third party to engage in any of the activities prohibited under this Section

RIGHTS TO INTELLECTUAL PROPERTY

Subject to the terms and restrictions in this Agreement, we provide you a limited, nonexclusive, nontransferable license to access and use the Services, Website, and related content, materials, and information (collectively, the "Content") only for uses that SteemX has periodically approved. All other rights, title, and interest in the Services, Website, or Content belong solely to SteemX, and any other use of the Website or Content is strictly forbidden. You acknowledge that you will not, in whole or in part, copy, transmit, distribute, sell, license, reverse engineer, alter, publish, take part in the transfer or sale of, produce derivative works from, or otherwise exploit any of the Content without SteemX's prior written authorization. SteemX's trademarks, registered brands, logos, and other intellectual property cannot be copied, imitated, or used without the prior written authorization of SteemX. Our website (including, but not limited to, the Content) may not always be totally accurate, comprehensive, or up-to-date, and it may contain typographical or technical mistakes, even while we strive to present accurate and timely information. No idea, comment, or related material will ever be subject to a confidentiality obligation or expectation of payment when disclosed to SteemX, its subsidiaries, parents, or affiliated companies, or any of their officers, directors, managers, members, shareholders, employees, agents, or any of their heirs, successors, representatives, or assigns (collectively, the "SteemX Parties"). By providing SteemX or any SteemX Party with an idea, feedback, or related material that would be protected by intellectual property rights (the "Work"), you give SteemX a non-exclusive, perpetual, worldwide, royalty-free license to use all of the ideas and feedback's content for any purpose. Additionally, to the greatest extent allowed by Panama law, you are giving up any moral rights you may have in the work. You also represent and guarantee to the SteemX Party that the work is entirely original with you, that no one else has any rights in it, and that all SteemX Parties are free from any royalty to implement the work and use the related material, if desired, as provided or modified by any SteemX Party, without obtaining permission or a license from any third party. You also agree that any work and materials you contribute may be used in any way by any of the SteemX Parties under a sublicense. THE AGREEMENT'S NATURE Any previous understandings and agreements between you and SteemX regarding the subject matter of the terms and conditions in this Agreement are canceled and superseded by this Agreement, which serves as the entirety of your agreement with SteemX regarding that subject topic. Without our prior written authorization, you are not permitted to assign any of your rights or duties under this agreement.
